Terms and Conditions

These Terms and Conditions ("Terms") govern your access to and use of StacksRE ("the Platform"), operated by StacksRE LLC, a Missouri limited liability company ("StacksRE," "we," "us," or "our"). By accessing or using the Platform, you agree to be bound by these Terms in their entirety. If you do not agree, do not use the Platform.

1. Eligibility

You must be at least 18 years of age to use StacksRE. By using the Platform, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. StacksRE is not intended for use by minors. Any account created by a minor will be terminated immediately upon discovery.

2. Not Financial Advice

StacksRE is an analytical tool that performs mathematical calculations based on user-provided inputs and third-party market data. Nothing on the Platform — including but not limited to any StackScore, deal analysis, assumption, metric, projection, explanation, or any other output — constitutes financial advice, investment advice, real estate advice, legal advice, tax advice, or any other form of professional advice.

StacksRE is not a licensed financial advisor, investment advisor, real estate broker, mortgage broker, or any other licensed professional. No output from the Platform should be construed as a recommendation to buy, sell, hold, or otherwise transact in any real estate asset or investment.

You are solely responsible for your own investment decisions. Any decision to purchase, sell, or otherwise transact in real estate based in whole or in part on information from StacksRE is made entirely at your own risk.

3. Absolute Disclaimer of Liability

StacksRE is a math engine with a user interface. It performs calculations. It does not guarantee outcomes.

StacksRE is not liable — under any theory of liability, including negligence, breach of contract, tort, strict liability, or any other legal or equitable theory — for any loss, damage, or harm of any kind arising from your use of the Platform or your reliance on any output produced by the Platform.

This includes without limitation:

• Any financial loss, loss of capital, loss of investment, or loss of profit
• Any loss arising from a real estate transaction you entered into based on Platform output
• Any loss arising from inaccurate, incomplete, outdated, or erroneous data
• Any loss arising from errors in the Platform's calculations or scoring methodology
• Any consequential, incidental, indirect, special, or punitive damages of any kind
• Any loss arising from Platform downtime, outages, or unavailability

Real estate investment involves substantial risk, including the total and permanent loss of capital. You acknowledge this risk and assume it entirely. StacksRE bears no responsibility for the outcome of any investment decision you make.

4. No Warranty

The Platform is provided "as is" and "as available" without warranty of any kind, express or implied. StacksRE expressly disclaims all warranties including but not limited to:

• Any warranty of merchantability, fitness for a particular purpose, or non-infringement
• Any warranty that the Platform will be accurate, complete, reliable, or error-free
• Any warranty that the Platform will be available, uninterrupted, or free of bugs or defects
• Any warranty regarding the accuracy or completeness of any third-party data used by the Platform

Market data, rent estimates, appreciation rates, Treasury rates, tax rates, insurance rates, and all other data inputs are sourced from third-party providers and may be incomplete, outdated, inaccurate, or otherwise unreliable. StacksRE makes no representation as to the accuracy of any such data.

5. Third-Party Services

The Platform relies on third-party services including but not limited to Rentcast, the Federal Reserve Economic Data system (FRED), the Federal Housing Finance Agency (FHFA), Anthropic, and Clerk. StacksRE is not responsible for the accuracy, availability, or performance of any third-party service. Outages, inaccuracies, or failures of third-party services are outside StacksRE's control and StacksRE bears no liability for any resulting impact on Platform output or availability.

6. Intellectual Property

All content on the Platform — including but not limited to the StackScore methodology, scoring engine, discounted cash flow model, user interface, design, text, graphics, and code — is the exclusive property of StacksRE LLC and is protected by applicable intellectual property laws.

You may not:

• Copy, reproduce, distribute, or publicly display any portion of the Platform
• Reverse engineer, decompile, or otherwise attempt to extract the source code or methodology of the Platform
• Use any automated means including bots, scrapers, or scripts to access or extract data from the Platform
• Create derivative works based on the Platform or any of its content
• Use the Platform's name, logo, or branding without prior written consent from StacksRE

7. Acceptable Use

By using the Platform you agree that you will not:

• Use the Platform for any unlawful purpose or in violation of any applicable law or regulation
• Attempt to circumvent any usage limits, authentication systems, or access controls
• Interfere with or disrupt the Platform or its servers
• Impersonate any person or entity or misrepresent your affiliation with any person or entity
• Use the Platform to transmit any harmful, offensive, or fraudulent content
• Attempt to gain unauthorized access to any part of the Platform or any other user's account

StacksRE reserves the right to investigate and take appropriate action against any user who violates this section, including termination of their account and referral to law enforcement where appropriate.

8. Account Termination

StacksRE reserves the right to suspend or terminate your account and your access to the Platform at any time, for any reason or no reason, with or without notice and without liability to you. Upon termination, your right to access the Platform ceases immediately.

9. Email Communications

By creating an account on StacksRE, you consent to receiving transactional emails related to your account and the Platform. You also consent to receiving marketing and promotional communications from StacksRE, including information about Platform features, updates, and partner offerings. You may opt out of marketing communications at any time by clicking the unsubscribe link in any marketing email. Transactional emails related to your account cannot be opted out of while your account remains active.

StacksRE will not sell your email address or personal information to third parties.

10. Vendor Placements

The Platform may display recommendations for third-party vendors including but not limited to property managers, contractors, lenders, insurance providers, and other real estate service providers ("Vendor Partners"). These placements are paid advertisements. StacksRE does not endorse, guarantee, or make any representation regarding the quality, accuracy, or suitability of any Vendor Partner or their services.

Any engagement with a Vendor Partner is solely between you and that vendor. StacksRE is not a party to any transaction between you and a Vendor Partner and bears no liability for the actions, services, or representations of any Vendor Partner.

No personal information is shared with Vendor Partners as a result of their placement on the Platform. Any contact between you and a Vendor Partner is initiated by you.

11. Subscription and Paid Tiers

StacksRE currently offers a free tier. StacksRE reserves the right to introduce paid subscription tiers at any time. If and when paid tiers are introduced, the applicable pricing, features, billing terms, and cancellation policies will be presented to you at the time of upgrade and incorporated into these Terms by reference.

StacksRE reserves the right to modify, limit, or discontinue any features available on the free tier at any time without notice or liability. Continued use of the Platform following any such change constitutes your acceptance of the change.

12. Changes to These Terms

StacksRE reserves the right to modify these Terms at any time. When we make changes, we will update the "Last Updated" date at the top of this page. Your continued use of the Platform after any modification constitutes your acceptance of the updated Terms. It is your responsibility to review these Terms periodically.

13. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights.

Any dispute, claim, or controversy arising out of or relating to these Terms or your use of the Platform ("Dispute") shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association ("AAA") under its Consumer Arbitration Rules, rather than in court.

You waive your right to a jury trial and your right to participate in any class action lawsuit or class-wide arbitration. All Disputes must be brought in your individual capacity and not as a plaintiff or class member in any purported class or representative proceeding.

Arbitration shall take place in St. Louis, Missouri. These Terms and any Dispute shall be governed by the laws of the State of Missouri without regard to its conflict of law provisions.

If any portion of this arbitration clause is found unenforceable, the remaining portions shall remain in full force and effect.

14. Governing Law and Venue

These Terms are governed by and construed in accordance with the laws of the State of Missouri. To the extent any dispute is not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in St. Louis, Missouri.

15. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it enforceable.

16. Entire Agreement

These Terms constitute the entire agreement between you and StacksRE with respect to your use of the Platform and supersede all prior agreements, understandings, and communications, whether written or oral, relating to the subject matter hereof.
